PT VENTENY Fortuna International Tbk Holds Extraordinary General Meeting of Shareholders, Approves Changes to the Board of Commissioners

Jakarta, 20 January 2026 – PT VENTENY Fortuna International Tbk (IDX VTNY) has held an Extraordinary General Meeting of Shareholders with the main agenda being approval of changes to the composition of the Company’s Board of Commissioners.

At the meeting, shareholders approved and accepted the resignation of Iwanho from his position as Independent Commissioner of the Company. The Company stated that the resignation had been reported to the Otoritas Jasa Keuangan (OJK) and the Indonesia Stock Exchange on 4 November 2025, in accordance with applicable laws and regulations.

At the same meeting, the Extraordinary General Meeting of Shareholders also approved the appointment of Prof. Dr. Adler Heymans Manurung, S.H as the new Independent Commissioner of the Company. This appointment is expected to further strengthen the implementation of Good Corporate Governance and support the Company’s supervisory function and strategic direction going forward.

Milokevin Wendiady, Group COO of VENTENY, expressed his appreciation for Mr Iwanho’s contributions during his tenure. “We would like to express our gratitude to Mr Iwanho for his dedication and strategic role in carrying out the supervisory and governance functions of the Company. His contribution has been an important part of the Company’s development to date.”

Furthermore, the Board of Directors welcomed the appointment of the new Independent Commissioner. “We welcome Mr Prof. Dr. Adler Heymans Manurung, S.H as the Company’s Independent Commissioner. With his experience and competencies, we are confident that he will provide constructive perspectives and strengthen the Company’s commitment to the principles of good and sustainable corporate governance,” added the Board of Directors.
