VENTENY Annual and Extraordinary General Meetings 2024 Approved by Shareholders

Jakarta, 29 May 2024 – PT VENTENY Fortuna International Tbk (VTNY) held its Annual General Meeting of Shareholders and Extraordinary General Meeting of Shareholders today. In today’s meetings, in addition to reporting the Company’s performance in the 2023 fiscal year, the Company also presented its developments in enhancing its business ecosystem. The company with the ticker VTNY is known to have moved up to the Main Board effectively as of May 2024 from its previous position on the Development Board at the IDX, indicating the Company’s excellent performance and consistent profitability since its inception.

In the Annual General Meeting, the second since the company went public, there were five agenda items, and the Extraordinary General Meeting had two. One essential agenda item was the approval of the company’s Annual Report, including the Financial Statements and the Supervisory Duties Report of the Board of Commissioners for the fiscal year ending December 31, 2023, and the granting of complete discharge and release of responsibility (acquit et de charge) to all members of the Board of Directors for their management actions and to the Board of Commissioners for their supervisory actions during the fiscal year ending December 31, 2023.

Other agenda items included the approval of the use of the company’s net profit for the fiscal year ending December 31, 2023, the determination of salaries or honoraria and allowances for the 2024 fiscal year for the members of the Board of Directors and the Board of Commissioners, and the report on the realization of the use of funds from the Initial Public Offering as of December 31, 2023.

The 2023 work report also showed positive performance. Revenues were recorded at Rp 181.9 billion, an increase of 149% from Rp 73.2 billion in 2022. Gross profit grew by 112%, from Rp 32.0 billion in 2022 to Rp 68.1 billion in 2023.

There were two agenda items in the Extraordinary General Meeting: the approval of the reaffirmation of the company’s status and the adjustment of the company’s business activities. Shareholders approved reaffirming the company’s status from a foreign direct investment company (PMA) to a domestic direct investment company (PMDN). This change supports the company’s business strategy in enhancing its business ecosystem. In 2023, VENTENY implemented several approaches, including acquiring a 51% stake in PT Lampung Berkah Finansial Teknologi (Lahan Sikam) and, at the end of 2023, a 30% stake in PT Digitalisasi Perangkat Indonesia, which includes the entities Indofund and Dipay.
